These Terms of Service (“Terms”) govern your access to and use of the Onyx Prep website at onyxprep.com and any related services (together, the “Service”), operated by Onyx Test Prep (“we”, “us”, “our”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility
You must be at least 18 years of age, or the age of majority in your province or territory of residence, to use the Service. By using the Service you represent that you meet this requirement and have the legal capacity to enter into these Terms.
2. Description of the Service
The Service provides study materials, practice questions, and examination simulation tools intended to help users prepare for insurance licensing examinations.
We are an independent study aid. We are not affiliated with, endorsed by, sponsored by, or otherwise connected to the Registered Insurance Brokers of Ontario (RIBO), the Insurance Institute of Canada, the Insurance Brokers Association of Ontario, or any other regulator, examination body, or licensing authority. Any reference to an examination or its content is descriptive only.
3. Accounts
You may need to create an account to use certain features. You agree to provide accurate and complete information and to keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at onyxexamprep@gmail.com if you suspect unauthorised use.
Accounts are personal to you. You may not share, sell, transfer, or allow others to use your account.
4. Fees, payment and refunds
Access to paid features is sold as a one-time payment granting access for a fixed term stated at the point of purchase. It is not a subscription: it does not renew automatically, and there is nothing to cancel.
Prices are shown in Canadian dollars and are subject to applicable taxes. Payments are processed by Stripe, Inc. We do not collect or store your payment card details. Your purchase is also subject to Stripe’s terms.
We may change prices at any time. A change does not affect access you have already purchased.
Refunds. If you are not satisfied, contact us at onyxexamprep@gmail.com within 14 days of purchase and we will refund you in full. A separate pass guarantee may also apply — see the pass guarantee page. Nothing in this section limits any statutory right you have under applicable consumer protection legislation.
5. Acceptable use
You agree not to:
- copy, reproduce, distribute, publish, sell, sublicense, or create derivative works from any part of the Service or its content;
- use automated means to scrape, crawl, harvest, or bulk-download content from the Service;
- share your account or otherwise provide access to people who have not purchased it;
- attempt to gain unauthorised access to the Service, other users’ accounts, or our systems, or interfere with or disrupt the Service;
- reverse engineer, decompile, or disassemble any part of the Service except to the extent that restriction is prohibited by law;
- use the Service for any unlawful purpose or in breach of these Terms.
You also agree not to submit to us, or ask us to reproduce, any actual or recalled examination questions or other confidential examination content. Doing so may breach your obligations to the relevant examination body and can result in your results being nullified or your being barred from writing.
6. Intellectual property
The Service and all content in it — including questions, explanations, text, graphics, logos, and software — are owned by us or our licensors and are protected by copyright, trademark, and other laws.
Subject to these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for your own examination preparation. All rights not expressly granted are reserved.
7. Feedback and submissions
If you send us feedback, suggestions, or reports about the Service — including reports that a question is wrong — you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation or compensation to you.
8. Third-party services
The Service relies on third-party providers, including Clerk (authentication), Convex (application infrastructure), Stripe (payments), and Vercel (hosting). Their availability and conduct are outside our control, and their own terms and privacy policies apply to their handling of your information. The Service may also link to third-party websites, which we do not control or endorse.
9. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.
We do not warrant or guarantee that using the Service will result in your passing any examination. Examination content, format, scoring, and rules are set by the relevant examination body and may change without notice. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that content is complete, current, or free of error.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
10. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity, arising out of or relating to your use of or inability to use the Service, however caused and on any theory of liability.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) CAD $100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, or any statutory rights you have as a consumer.
11. Indemnification
You agree to indemnify and hold harmless Onyx Test Prep and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of your breach of these Terms or your misuse of the Service.
12. Suspension and termination
We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms or if we reasonably believe your use poses a risk to us, to other users, or to third parties. We may also discontinue the Service, or any part of it, at any time.
If we terminate your access for a reason other than your breach, and you have unused paid access remaining, we will refund the unused portion on a pro rata basis. You may stop using the Service at any time.
Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material we will update the date at the top of this page and, where reasonable, give additional notice. Changes are not retroactive, and the version in effect on the date of your purchase governs that purchase. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
14. Dispute resolution, arbitration and class action waiver
Please read this section carefully. It affects how disputes between you and us are resolved.
Informal resolution first. Before starting a formal proceeding, you agree to contact us at onyxexamprep@gmail.com with a written description of the dispute and the relief you seek, and to allow us 30 days to resolve it informally.
Binding arbitration.Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, rather than in court, before a single arbitrator. The arbitration will be administered under applicable arbitration rules, seated in Toronto, Ontario, and conducted in English. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction.
Class action waiver.You and we each agree to bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.
Jury trial waiver. To the extent permitted by law, you and we each waive any right to a trial by jury in respect of any dispute covered by this section.
Exceptions. This section does not apply to: (a) claims brought in small claims court, provided they remain individual claims in that forum; or (b) claims for injunctive or other equitable relief relating to intellectual property, unauthorised access, or misuse of the Service.
Opt out. You may opt out of this arbitration and class action waiver section by emailing onyxexamprep@gmail.comwith the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
Where this section does not apply. Some jurisdictions do not permit mandatory arbitration or the waiver of class proceedings in consumer agreements. To the extent this section is prohibited, void, or unenforceable under the law applicable to you, it does not apply to you, the remainder of these Terms continues in force, and any dispute is resolved under section 15 instead. Nothing in this section prevents you from bringing a matter to the attention of a government, regulatory, or consumer protection authority.
15. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict-of-law rules. Subject to section 14, the courts of Ontario have non-exclusive jurisdiction over any dispute arising out of these Terms or the Service. Nothing in this section deprives you of the protection of mandatory consumer-protection rules of the province or territory in which you reside, or of your right to bring a claim in the courts of that jurisdiction where the law allows.
16. General
If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service.
